1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and Meridian Growth Partners Ltd ("MGP", "we", "our"), a company registered in England and Wales. By accessing our website or engaging any of our personal development, coaching, or consulting services, you accept these Terms in full. If you do not agree, please do not use our website or services.

2. Our Services

Meridian Growth Partners provides executive coaching, leadership development programmes, organisational consulting, and related professional development services. The specific scope, deliverables, timelines, and investment for each engagement are defined in a separate service agreement or statement of work executed by both parties prior to commencement.

3. Eligibility

Our services are designed for individuals aged 18 and over, and for organisations operating within the United Kingdom and internationally. By engaging our services, you confirm that you have the legal authority to enter into a binding agreement.

4. Investment and Payment

• All fees are quoted in British Pounds (GBP) and exclude VAT unless expressly stated.
• Payment schedules are defined in each service agreement. Standard payment terms require settlement within 14 days of invoice.
• For programme enrolments, a non-refundable deposit of 20% is required to secure your place.
• We reserve the right to suspend or terminate services where payment remains outstanding beyond 30 days.

5. Rescheduling, Cancellation, and Refunds

• Individual coaching sessions: reschedulable with 72 hours' written notice. Sessions cancelled with less than 72 hours' notice are charged at full rate.
• Programme cancellations: full refund (less deposit) if cancelled 30 or more days before commencement. Within 30 days, fees are non-refundable but transferable to a future programme within 12 months.
• Consulting engagements: cancellation terms are specified in individual service agreements.
• We reserve the right to cancel or reschedule services due to unforeseen circumstances, in which case a full refund or credit will be offered.

6. Nature of Our Services

Our services are professional development interventions. They are not, and should not be treated as, a substitute for psychotherapy, psychiatric care, medical treatment, legal advice, or financial guidance. We do not diagnose mental health conditions or prescribe treatment. Clients are encouraged to seek appropriate professional support for matters beyond the scope of coaching and consulting.

7. Outcomes and Guarantees

While we are committed to delivering exceptional quality and supporting meaningful progress, the outcomes of coaching and consulting engagements depend on numerous factors including your own commitment, openness, and organisational context. We do not guarantee specific results, promotions, revenue increases, or any other defined outcome.

8. Confidentiality

Both parties agree to treat all information shared during coaching and consulting engagements as confidential. Specifically:

• The content of coaching conversations will not be disclosed to third parties (including employers, sponsors, or stakeholders) without the client's written consent.
• In organisational engagements, aggregate themes may be reported to sponsors, but individual contributions will remain anonymous.
• Confidentiality obligations survive the termination of the engagement.
• Exceptions apply where disclosure is required by law, where there is a serious risk of harm, or where the client provides explicit consent.

9. Intellectual Property

All frameworks, methodologies, proprietary tools, written materials, visual content, and other intellectual property on our website or used in our engagements are the exclusive property of Meridian Growth Partners Ltd. You may not copy, reproduce, distribute, adapt, or commercially exploit any such content without our prior written authorisation.

10. Limitation of Liability

• Our total liability arising from or relating to any engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim.
• We exclude liability for any indirect, consequential, special, or punitive damages, including loss of profit, revenue, data, or business opportunity.
• Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.

11. Acceptable Use of the Website

You agree not to:

• Use the website for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to interfere with the website's operation, infrastructure, or security.
• Access any area of the website to which you are not authorised.
